Secretariat Analyst

Gas Networks Ireland operates and maintains Ireland’s €3bn, 14,725km national gas network, which is considered one of the safest and most modern renewables-ready gas networks in the world.

Almost 725,000 Irish homes and businesses trust Ireland’s gas network to provide efficient and reliable energy to meet their heating, cooking, manufacturing and transport needs.

The gas network is the cornerstone of Ireland’s energy system, securely supplying more than 30% of Ireland’s total energy, including 40% of all heating and almost 50% of the country’s electricity generation.

Gas Networks Ireland is aiming to deliver a repurposed, resized and fully decarbonised gas network by 2045. Its “Pathway to a Net Zero Carbon Network” envisions transforming the existing gas network into two separate systems carrying 100% renewable gas, one dedicated to biomethane and the other to green hydrogen, with the potential to carry approximately 30% biomethane and 70% green hydrogen, as well as offering significant long term energy export opportunities.

The Role:

 
   

Reporting to the Company Secretary, the main purpose of the Secretariat Analyst is to ensure corporate policy documents are reviewed on a regular basis and comply with governance and legislative requirements.

Duties and Responsibilities:

 
   
  • Coordinate annual review of the Code of Business Conduct, followed by process to ensure completion of returns by board members, directors of subsidiary companies, senior management and employees and maintain confidential registers of returns.
  • Ensure regular review of corporate policy documents to comply with governance requirements, arrange/prepare Board and management approval of corporate policies as appropriate, follow up on queries on corporate policies, maintain and update policy log and circulate policy updates to executive team.
  • Update Ethics in Public Office return forms annually and issue annual declarations to board members, directors of subsidiary companies and relevant management for completion. Maintain confidential register of returns.
  • Arrange updates to corporate governance sections of website as required.
  • Maintain company secretarial obligations for Gas Network Irelands subsidiary companies, including scheduling and preparing for directors’ meetings (agenda, papers, minutes, matters arising etc.) and AGMs, filing annual returns and updating statutory registers.
  • Liaise with Committee Members and internal stakeholders in the scheduling of Committee meetings. Work with the Company Secretary on the finalisation of agendas and papers. Prepare draft minutes and follow up on matters arising.
  • Engagement with Government Departments - manage the collation of responses in relation to parliamentary questions, ministerial representations, information requests from Government officials etc.
  • Work with the Company Secretary to develop and implement the necessary processes and procedures to ensure compliance with best practice corporate governance requirements.
  • Review contracts for execution at corporate level to ensure they are in line with the approval of or delegation of authority from the Board or approval at management level
  • Work with the Company Secretary on the Lobbying Act 2015, organising regular Compliance Officer meetings, reviewing proposed Lobbying returns for the given period and organising the final approved list of returns for submission to the Standards in Public Office (SIPO).

Knowledge, Skills and Experience:

 
   
  • Third level degree in Business or a related area is desirable
  • Proven ability to create and develop good working relationships to facilitate the accomplishment of work goals, coupled with the ability to gain commitment from others.
  • Experience with identifying improvement opportunities, generating ideas and implementing solutions.
  • Have excellent analytical and numerical skills and be able to identify and analyse problems and potential improvements and propose and implement solutions.
  • Proactively identifying new areas of learning and using newly gained knowledge and skill on the job.
  • Ability to set own high standards of performance and delivering desired results.
  • Strong Interpersonal skills with the ability to communicate effectively at all levels within the organisation
  • Ability to work on own initiative but also as part of a team.
  • Ability to prioritise tasks, and deliver high-quality work within timeline
